Otelier Community Terms of Service
Welcome
The Otelier Community is a place for hoteliers, revenue managers, finance teams and hospitality partners to learn from each other and from Otelier. These Terms of Service ("Terms") set the rules for using the community website, forums, events, groups and any related features (together, the "Community").
The Community is operated by Otelier ("Otelier," "we," "us"). "You" means any person who visits, registers for or participates in the Community.
These Terms govern only your access and use of the Community. Your use of Otelier products and services such as DigiAudit, TruePlan and IntelliSight is governed by your organization's separate subscription agreement with Otelier (a “Customer Agreement”). Except to the extent a Customer Agreement expressly states that it governs the Community, these Terms control with respect to the Community. Nothing in these Terms modifies any commercial terms, service levels, security commitments, data processing obligations, or other obligations under a Customer Agreement.
1. Acceptance of these Terms
By creating a Community account, clicking to accept these Terms, posting User Content, or otherwise accessing or using the Community, you agree to be bound by these Terms and to our Privacy Policy which can be found at otelier.io/privacy-policy/. If you do not agree, do not access or use the Community.
If you access or use the Community on behalf of a hotel, management company or other organization, you represent that you are authorized to do so and to bind that organization with respect to its use of the Community and to accept these Terms for that organization.
2. Eligibility and accounts
You must be at least 18 years old, able to form a binding contract, and using the Community for professional or business purposes to join. The Community is intended for hospitality professionals, Otelier customers and partners. We may limit certain spaces, such as customer-only groups, to verified users.
When you register, you agree to:
Provide accurate and current information, including your real name and a topic, and share what you know. Maintain confidentiality and security of your login credentials, not share your account with another person and promptly notify Otelier if you know or reasonably suspect that your account has been accessed or used without authorization. Be professional and respectful. Assume good intent, contribute constructively, and disagree with ideas rather than people.
You may not post, share, solicit, or use the Community to engage in any of the following:
Harassment, threats, hate speech, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, age or nationality.
Spam, unsolicited advertising, affiliate links, or repeated self-promotion. Vendors may share relevant resources only in spaces we designate.
Sensitive and personal information. Do not post payment card information, passwords or authentication credentials, government identification numbers, guest reservation records, sensitive personal information, or other personal information that you are not legally authorized to disclose.
Confidential, proprietary, or non-public information of your employer, hotel owners, customers, another member, another company, or Otelier unless you are expressly authorized to disclose it and the disclosure is permitted in the applicable Community space.
Competitively sensitive information or conduct. Do not post, request, solicit, exchange or discuss with actual or potential competitors any non-public, competitively sensitive information, including current or future prices, room rates, fees, discounts, promotions, costs, margins, occupancy, capacity, inventory, output, bids, customer-specific terms, sales or marketing plans, compensation information, or other strategic business information. Do not use the Community to propose, invite, reach or facilitate any agreement or coordination regarding prices, output or capacity, customers, territories, bids, suppliers, employment terms or other competitive matters. Any benchmarking or industry-data discussions must be structured to avoid disclosure or identification of a participant's non-public current or future competitively sensitive information. Otelier may immediately stop discussions, remove content or restrict accounts where we reasonably believe activity creates antitrust or competition-law risk. conduct.
Content that infringes anyone's copyright, trademark or other rights.
False, misleading or defamatory statements about people, hotels or companies.
Illegal, sexually explicit, or violent content.
Malware, phishing links, or attempts to hack, scrape, overload or disrupt the Community.
Automated accounts, bots or scripts, or harvesting member contact details, without our written permission.
Unauthorized solicitation. Do not harvest member information, send unsolicited commercial communications, or use the Community to solicit or divert members for unauthorized commercial purposes. Vendors may promote relevant resources only in spaces or circumstances designated by Otelier.
We may publish additional space-specific rules. Those rules form part of these Terms.
4. Your content
You own the posts, comments, files, images and other material you submit ("User Content"). You are responsible for it, and you confirm you have the rights to share it.
By posting User Content, you grant Otelier a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, adapt, translate, transmit, and distribute your User Content as necessary in connection with operating, administering, securing, promoting and improving the Community. We may sublicense these rights to service providers and technology vendors acting on our behalf for those purposes. This license continues for content already shared or archived, even if you delete it or close your account.
This license ends when the applicable User Content is deleted or your account is closed, except to the extent the content has previously been shared with other members and remains available to them, is retained temporarily in backup systems, or must be retained for legitimate legal, security, fraud-prevention or compliance purposes.
If we want to feature your content outside the Community, such as in a case study or marketing material with your name or your hotel's name, we will ask you first.
User Content reflects the views of its author, not Otelier. Other members' advice, including tips on revenue management, accounting or budgeting, is not professional advice. Verify it before relying on it.
5. Otelier's intellectual property and feedback
The Community's design, software, and Otelier-created content, including articles, guides, webinars, templates and training materials, are owned by Otelier or its licensors. The Otelier name, logo, and product names such as DigiAudit, TruePlan and IntelliSight are Otelier trademarks.
We grant you a limited, personal, non-transferable license to view and use Otelier content for your own professional purposes. You may not sell, republish or redistribute it, or use our trademarks, without our written permission.
If you share ideas, suggestions, recommendations, enhancement request, or feature requests ("Feedback"), you grant Otelier a worldwide, perpetual, irrevocable, transferable, sublicensable, and royalty-free right and to use reproduce, modify, commercialize and otherwise exploit that Feedback without any restriction or obligation to you. We will not publicly identify you as the source of the Feedback without your permission.
6. Moderation, reporting and enforcement
Otelier moderators and designated community leaders help keep the Community useful and safe. We do not review every post before it appears, and we are not obligated to monitor content.
Reporting. If you see content or conduct that violates these Terms, use the Community’s report button or email [email protected]. Otelier responds to valid notices of claimed copyright infringement in accordance with applicable law. Copyright owners can send infringement notices to [copyright/DMCA contact] with the work, the infringing material's location, and their contact details.
Our actions. At our discretion, and usually in proportion to the issue, we may:
Remove, hide, move, restrict visibility of, redact where appropriate, or disable access to content.
Send a warning.
Temporarily restrict posting or suspend an account.
Permanently ban an account, and any new accounts created to avoid a ban.
We may take action without following these steps or providing advance notice where we reasonably believe it is necessary to address for serious violations, such as threats, illegal content, privacy concerns, intellectual property violations, antitrust or competition law concerns, security attacks, or other material risks to Otelier, members or third parties. If you believe we made a mistake, you can appeal to [community email] within 30 days.
7. Privacy and confidentiality
Our Privacy Policy explains how we collect and use your personal information in the Community. Your profile name, photo, title, company and posts are visible to other members, and public spaces may be visible to search engines.
Do not post anything you would not want other members to see. Private messages and customer-only groups are not a secure channel for sensitive data. For support involving your hotel's data in an Otelier product, use the official support channels instead.
If you receive other members' information through the Community, use it only for Community purposes and do not add them to marketing lists without consent.
The Community, including private messages and customer-only groups, is not intended to serve as a confidential or secure channel for sensitive business, personal or customer data unless Otelier expressly states otherwise in writing. Do not submit information to the Community that requires confidential treatment. Support matters involving data maintained in an Otelier product should be submitted through Otelier's official support channels.
8. Third-party links and events
The Community may link to third-party sites, tools or partner offers. Otelier does not control or endorse them and is not responsible for their content or practices. Community events, whether online or in person, may have additional terms we share at registration.
9. Disclaimers
THE COMMUNITY IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, OTELIER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the Community will be uninterrupted, error-free or secure, or that any content is accurate or complete.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OTELIER AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS, YOUR ACCESS OR USE OF THE COMMUNITY OR ANY USER OR THIRD PARTY CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE COMMUNITY, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILTY OF SUCH DAMAGES, WILL NOT EXCEED US$100.
11. Indemnity
You agree to indemnify, defend and hold harmless Otelier, its affiliates, and their respective officers, directors, employees, agents, licensors and service providers from and against any claims, damages, losses, liabilities, judgments, costs and expenses, including reasonable attorneys’ fees, arising or relating to your User Content or your breach of these Terms or applicable law, your infringement or violation of another person’s rights or your misuse of the Community. Otelier may assume control of the defense of any matter subject to indemnification, and you will reasonably cooperate with that defense. You may not settle any claim in a manner that imposes liability or obligations on Otelier without Otelier's prior written consent.
12. Termination
You may close your account at any time from your profile settings or by emailing [community email]. We may remove content or restrict, suspend or terminate your access to all or part of the Community at any time and without notice if you breach these Terms, if we reasonably believe your use creates legal, security, privacy, abuse, antitrust or other material risk, if required by law, or if we suspend or discontinue all or part of the Community. Sections 4, 5, 7 and 9 through 15 survive termination.
13. Changes to these Terms
We may update these Terms as the Community evolves. We will post the new version with its effective date and, for material changes, notify members by email or a Community announcement at least 14 days in advance. We may make changes effective immediately where reasonably necessary to comply with law, address security or abuse, or respond to an urgent legal or operational issue. Continuing to use the Community after changes take effect means you accept them.
14. General
These Terms, together with the Privacy Policy and any Community rules expressly incorporated into them, constitute the entire agreement regarding your access to and use of the Community, except for any separate written agreement that expressly states that it governs the Community. These Terms are governed by the laws of [State/Country], without regard to conflict-of-law principles. Disputes will be resolved in the courts of [venue], unless your organization's agreement with Otelier says otherwise. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms; we may assign them to an affiliate or successor.
